Miami Beef and Subsidiaries
Freight Terms and Conditions for Companies that transport and broker transportation of products to and from Miami Beef
1. Rates and Pricing
- Transportation rates are based on distance, weight, and volume of the goods.
- Additional fees may apply for fuel surcharges, tolls, and other accessorial charges must be agreed to beforehand in writing.
2. Liability and Insurance
- The trucking company must maintain adequate insurance coverage of no less than $250,000 per occurrence for cargo loss or damage.
- The trucking company must provide a Certificate of Insurance (COI) upon request.
- If the trucking company fails to deliver the product or if the product is damaged due to the Trucking Company’s negligence or fault, the trucking company will be responsible for covering Miami Beef’s losses.
- If the trucking company’s insurance fails to pay for the losses in full, the trucking company is responsible for covering the insurance gap.
- Miami Beef reserves the right to offset any freight charges from the losses incurred
3. Delivery Timeframes
- The trucking company agrees to deliver goods within the agreed-upon timeframes.
4. Payment Terms
- Payment is due within 30 days of invoice receipt.
- The invoice must reference Miami Beef’s order number and include copies of the signed bills of lading and other additional pass-through fees.
- Invoices must include all relevant details, including shipment date, delivery date, and any additional charges
- Duplication of invoices with different invoice numbers for the same Miami Beef order will result in an administrative fee of $100.
5. Equipment and Maintenance
- The trucking company must ensure that all vehicles and equipment used are in good working condition and comply with safety regulations.
- Regular maintenance and inspections must be conducted to ensure safety and reliability.
6. Compliance with Laws
- The trucking company must comply with all applicable federal, state, and local laws and regulations, including those related to transportation, safety, and labor.
7. Confidentiality
- The Trucking company agrees to keep any and all information shared by Miami Beef confidential.
8. Applicable Law. These terms and conditions shall be construed and enforced in accordance with and governed by the laws of the State of Florida. Any dispute, controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules which shall take place in Miami-Dade County, Florida, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
9. Severability. If any provision of these terms and conditions held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
10. These Terms and Conditions are subject to change at the sole discretion of Miami Beef and they supersede any documentation between Miami Beef and the trucking company.
